1. In these Terms and Conditions: -

‘VIP Adrenaline’ shall mean VIP Adrenaline Ltd;

‘Booked Event’ shall mean the event advertised by VIP Adrenaline and requested by the booking client.

2. The Contract

2.1 These Terms and Conditions constitute the entire agreement between VIP Adrenaline and the booking client and supersede any earlier agreement or understanding. They may not be varied save as expressly agreed in writing by an authorised officer of VIP Adrenaline. All other terms, express or implied by statute or otherwise, are excluded to the fullest extent permitted by law.

2.2 The contract shall be deemed to have been made between VIP Adrenaline and the booking client when the client has confirmed requirements by letter, telex or facsimile and VIP Adrenaline has accepted such booking an invoice being proof of such acceptance.

3. Payment:

(a) a deposit as stipulated by VIP Adrenaline at the time of the booking must be paid to VIP Adrenaline within 14 days from the date of booking.

(b) final balances must be paid to VIP Adrenaline no later than 60 days prior to the first of the Booked Event.

(c) if the booking is made within 60 days of the first day of the Booked Event, the deposit and the final balance must be paid to VIP Adrenaline within 5 days from the date of booking.

(d) for bookings made within 7 days of the first day of the Booked Event and for additions made during the Booked Event payment must be made by an authorised credit card.

4. Failure to pay:

(a) if payment is not made within the time limits in clause 5 above, this will be a breach of contract by the client entitling VIP Adrenaline to treat the contract as terminated and re-allocate the Booked Event without informing the client.

(b) if VIP Adrenaline treats the contracts as having been terminated in accordance with clause 7 (a) above VIP Adrenaline shall be entitled to retain all sums already paid by the client. The balance, if any, of the cost/price of the booking shall become immediately payable by the client to VIP Adrenaline.

(c) clause 7(b) above shall apply without prejudice to VIP Adrenaline’s right to claim damages from the client in respect of any loss suffered by it.

5. Cancellation and alterations

5.1 Cancellation and alterations of booked events will be accepted at the sole discretion of VIP Adrenaline. In the event of the client wishing to alter or cancel the Booked Event any such notice of alteration or cancellation must be confirmed in writing to VIP Adrenaline and sent to VIP Adrenaline, 137 – 141 Cleethorpe Road, Grimsby, DN31 3EW by recorded delivery. On receipt of such cancellation or alteration and subject to VIP Adrenaline accepting such cancellation or alteration the following scale of cancellation and alteration charges will be applied:

(i) Cancellations:-

(a) up to 60 days before the first day of the Booked Event the full amount will be funded to the client

(b) between 30 and 30 days before the first day of the Booked Event 50% of the full amount will be refunded to the client

(c) less than 30 days before the first day of the Booked Event VIP Adrenaline will keep the full amount and none will be refunded to the client.

(ii) Alteration Fee

A £10 administration charge will be added to the final balance for each amendment made to the original Book event (save where the amendment increased the size of the original book event)

5.2 Cancellation and amendment charges are not penalties, but a genuine pre-estimate of the damage that would be caused to VIP Adrenaline.

6. Tickets and Risk

6.1 Tickets and other admission documents will not under any circumstances be issued prior to receipt and bank clearance of full payment relating to such tickets and admission documents.

6.2 If tickets are to be posted to the client rather than collected by the client, risk in the goods shall pass to the client upon the items being posted to the address given by the client. VIP Adrenaline shall not be liable for any loss, damage or cost arising by non-delivery and reserves the right to levy an additional charge for issuing replacement tickets and documents for those lost whether in the post or otherwise.

6.3 (a) Hospitality packages and tickets in them shall not be resold or transferred save as set out herein and shall not be purchased or obtained from or through any commercial agent or company or otherwise than directly from VIP Adrenaline or an appointed agent of VIP Adrenaline. If more than one hospitality package or ticket is issued to a client those hospitality packages or tickets may be used only by those persons intending to accompany the client to and at the Booked Event.

(b) The provision of such hospitality packages and tickets by a client to such persons without payment shall contravene these Terms and Conditions. Any hospitality packages or tickets obtained in breach of these conditions shall be void and all rights conferred or evidenced by such tickets shall be nullified.

(c) Any person seeking to use a ticket in breach of these Terms and Conditions in order to gain or provide entry to or remain at a Booked Event will be liable to be refused admission to or be ejected from the venue and may be liable to legal action.

6.4 Hospitality packages and tickets therein shall not be used as competition prizes, or trade incentives, nor may they be used in raffles, tombolas, lotteries or draws whether for commercial or charitable purposes without the prior written authority of the venue which may withhold such authority at its sole discretion.

7. Limitation and Liability

7.1 VIP Adrenaline gives no warranty guarantee or other term (whether expressed or implied under statute or otherwise) as to the fitness for purpose quality suitability or otherwise of the Booked Event and advice and descriptions should be used as a guide only.

7.2 VIP Adrenaline give no warranties that the elements of the Booked Event shall take place in the time and place stipulated or at all. VIP Adrenaline shall not be liable to give any refund in the event that the Booked Event or elements of the Booked Event is cancelled or postponed.

7.3 The client hereby acknowledges that any description of the position of seats where applicable are controlled by the venue of which VIP Adrenaline has no control or liability.

7.4 The tickets in any hospitality packages sold are subject to any terms, conditions and limitations of liability imposed by the owners or operators of the venue for which tickets are sold and VIP Adrenaline shall have no liability whatsoever for any negligence or breach of the said terms and conditions by either the client or the owners or operators of the venue and the client shall indemnify VIP Adrenaline against all losses, damages, costs and expenses incurred by it in connection with any claim brought by any owner or operator of the venue as a result of any breach by the client of the said terms and conditions.

7.5 VIP Adrenaline shall not be held liable for any omission by any person not employed directly by VIP Adrenaline and shall not be liable for the actions or omissions of the organisers or operators of the venue or their servants, agents or employees.

7.6 VIP Adrenaline shall not be liable for any loss, damage or expense caused by cancellation of the Booked Event because of government action, strike, civil commotion, national disaster or other force majeur, in no circumstances shall VIP Adrenaline be liable for any consequential loss or damage, in any event VIP Adrenaline’s liability shall be limited to the price of the hospitality package.

7.7 Except as prevented from doing so by statute VIP Adrenaline shall not be liable in respect of death or personal injury suffered by the client or its guests arising out of the booking. This restriction of liability shall also extend to any loss or damage sustained to the property or belongings of the client or any of the client’s guests or for any other costs, losses, demands or expenses incurred or suffered by the client arising out of the booking.

8. Alterations to Advertised packages/events

8.1 Every reasonable effort will be made to adhere to the advertised packages/events but any package/event may be altered, omitted or dates or other details changed either before or after confirmation of the booking. Where such alterations, changes or omissions occur prior to or after the booking VIP Adrenaline agrees to use reasonable endeavours (such reasonable endeavours to be strictly subject to the organisers and/or owners making available alternative packages/events and further subject to VIP Adrenaline’s right to change the price applicable) to provide a reasonable alternative package/event and the client agrees to accept such reasonable alternative package/event.

8.2 VIP Adrenaline have the right to change the price applicable to a booking (upwards or downwards) at any time prior to a booking being accepted. When such change alters the price from that advertised, the altered price must be paid in accordance with payment clause 3 above.

9. The contract and these Terms and Conditions shall be governed by English Law and VIP Adrenaline and the client hereby submits to the exclusive jurisdiction of the English Courts in all matters regarding to the contract and these Terms and Conditions.
